The present invention relates to a natural soap composition having moisturizing and whitening effects, and a method of preparing the same. The natural soap composition having moisturizing and whitening effects is formed by performing the processes of: mixing 12 wt% of deep sea water with 3 wt% of a pine cone extract, 5 wt% of a Centella asiatica (L.) Urbain extract, 4 wt% of a paprika extract, 3 wt% of a gardenia blue powder, 3 wt% of a mugwort extract, 3 wt% of a citron extract, 2 wt% of a Curcuma longa extract, and 4 wt% of normal saline solution, stirring the mixture, and fermenting the stirred mixture to obtain nano-sized fine fermented particles； mixing 8 wt% of vegetable palm oil, 6 wt% of cacao oil, 8 wt% of coconut oil, 7 wt% of fine essential oil, and 7 wt% of jojoba oil, and heating the vegetable oils so that the temperature of heated vegetable oils is maintained at 70 to 85°C； mixing the fermented particles obtained by mixing deep sea water with the natural extracts and stirring the mixture, rapidly cooling a mixture of the fermented particles and the heated vegetable oils to produce a vegetable oil mixture； mixing the produced vegetable oil mixture with functional materials including 5 wt% of a bio mineral matter, 6 wt% of hyaluronic acid, 5 wt% of acacia collagen, 5 wt% of a chitosan solution and 4 wt% of bentonite, and stirring the mixture to produce a mixed formed material； and fermenting, aging and naturally solidifying the mixed formed material. Therefore, the natural soap composition according to the present invention helps the skin to be maintained to be glossy and soft by comprising deep sea water including abundant mineral components and bio mineral matter, and provides a skin regeneration effect by comprising acacia collagen and Centella asiatica (L.)
